Government extends Companies and Other Business Entities re-registration period to 2028

THE government has extended the re-registration of companies and other private business entities to 2028.

Under Statutory Instrument (SI) 76 of 2026, Justice minister Ziyambi Ziyambi has amended SI108 of 2025 by extending the deadline of the re-registration of companies and other business entities.

“Companies and Other Business Entities (Re-Registration) (Amendment) Regulations, 2026 (No. 1)

“It is hereby notified that the Minister of Justice, Legal and Parliamentary Affairs has, in terms of sections 301 and 303 of the Companies and Other Business Entities Act [Chapter 24:31], has amended the Companies and Other Business Entities (Re-Registration) Regulations, 2025, published as Statutory Instrument 108 of 2025, by the deletion of ’20th April, 2026′ and the substitution of ’20th April, 2028′”, Ziyambi said.

The amendment follows the publication of Statutory Instrument 108 of 2025 on 26 September 2025, Companies & Other Business Entities (Re-registration) which had ordered that all companies and private business corporations registered in Zimbabwe before the implementation of the electronic registry system were required to re-register.

In terms of section 303 of the Companies and Other Business Entities Act [Chapter 24:31], the Minister of Justice, Legal and Parliamentary Affairs set the 20th of April 2026, as the deadline for completion of the re-registration process.

SI 108 of 2025 further warned Companies and Private business corporations that fail to re-register on or before the 20th of April 2026 risked being automatically de-registered and removed from the official register of Companies.

This meant these companies and private entities were going to lose their legal standing to operate, and their company names may be taken by other entities for registration

The government’s purpose for the re-registration of the companies and private business entities is said to “modernise the registry, remove ‘ghost’ or dormant companies and ensure compliance with the Companies and other Business Entities Act [Chapter 24:31].”
